 Market cap / Value of your equity is about the size of a CEO’s ego, it’s the price per share with which you pay for your kid’s education – a US based Biotech CEO

 

Although a funny quote, it has a deep meaning on how to create value as a Biotech/MedTech company.

 

Our workshop is designed to provide you a real-world valuation perspective which you can use it either when raising money from Investors or in discussion with Strategic Partners. Having valued more than 50 assets since 2010, we are adept at providing training to the CEOs/CSOs of a life sciences company who can leverage this in creating value for their shareholders and themselves.

 

We have divided the workshop into two halves:

·       Fundamentals of Valuation

·       Hands on experience

 

Morning session (8:30 AM – 11:30 AM)

 

We will delve into the following:

 

·       How does a VC/ investor assess your assets before deciding to Invest?

·       If they decide to invest, how do they think about the winning deals – a multiple of capital invested or generate returns as a fraction of fund size?

·       What are the ways you can value a biotech/MedTech asset? rNPV, Decision trees/Real options or Comparable method or VC method

·       What are the ways you should NOT value while pitching to the VCs/investors?

·       Understand the distinction between value and price, learn about liquidation preferences, warrants etc

·       Should Value of your company be the topmost priority while negotiating with them?

·       Are discount rates really that important? What matters more in a valuation?

·       What are the types of risks that we encounter during product development and how do we incorporate those risks in valuation?

·       How can we use this to structure a licensing deal with a Strategic Partner?

·       How to understand and read deal values while negotiating with Investors?

 

LUNCH BREAK

 

AFTERNOON Session (12:30 – 16:00)

 

Case study: You do not learn to value an asset by listening, it’s always by practising. We will practise a real-world valuation for a preclinical/Phase2a asset. The candidates are encouraged to bring their laptop.

 

While practising we will learn the following:

·       Common errors that many commit while valuing an asset

·       What drives value? Peak sales? Margins? 

·       What matters more in valuing an early-stage asset- Narrative or numbers?

·       How to spot inconsistencies in a valuation?

 

This will be followed by Q&A session and a networking coffee.

1.    Who will be the expert teaching this course?

 

The workshop will be taught by Saurabh Mishra. Saurabh co-founded Farmantra in 2010 along with other Partners and is the Managing Partner at Farmantra. He has valued more than 50 biotech assets and assisted his clients to negotiate with Investors or Strategic Partners. He also works as Strategic CFO for biotech companies where he is instrumental in assisting the CEO and the board for making strategic decisions to create value in the long term. He writes regularly on Linkedin and publishes Value creation videos where he interviews VCs/Business Angels and CEOs of biotech companies so that the wisdom can be leveraged by all entrepreneurs. Any entrepreneur who would like to learn how to value an asset and is in frontline negotiating with Investors/Strategic Partners. 

 

3.    What will I achieve post this course?

 

This is a real-world valuation workshop where you would learn how the licensing and BD managers of pharmaceutical companies think and value the asset from their perspectives. In addition, you get the insights on how Investors think about the value before they decide to invest. You can use these insights for raising capital, taking decisions inside the company, and negotiating with strategic partners.

 

4.    What’s the fee for this one-day workshop?

 

Early bird rate: 1799 Euros per participant if booked by 26th May. For Swiss biotech members , its 1299 Euros. Post 26th May, Its 2000 EUR per participant for all. 25% discount for pre-seed companies[1]. for Startusps that havent raised any money, its 1200 euros. 5.    Is the fee refundable if I cannot attend on that day?

 

Unfortunately, the fee is non-refundable. However, in case of extreme situations such as affected with COVID etc, a separate online class could be provided to compensate for the absence.

                                 

6.    Is the Lunch and coffee included in it?

 

Yes.



[1] Pre seed companies: defined as those companies who haven’t raised seed investment or have raised less than 500 K euros in 2022 till today. The 25% discount is on 2000 EUR i.e., 1499 EUR. Post 15th May late fee applies equally to all
